Terms and Conditions of Supply

These Terms and Conditions (“Terms”) apply to all sales of equipment, machinery and related products (“Goods”) supplied by UK Beauty Machines Ltd (“Supplier”, “we”, “us”) to business customers (“Buyer”, “you”). These Terms apply to Business-to-Business (B2B) sales only.

1. Interpretation

1.1 These Terms apply to all quotations, orders, invoices and contracts unless otherwise agreed in writing.

1.2 “Goods” refers to any electrical, aesthetic, cosmetic, laser, IPL, RF, HIFU, cavitation or similar machinery supplied.

1.3 “Contract” means any agreement for purchase between Supplier and Buyer.

1.4 “Warranty” means the limited hardware warranty as defined in Section 10.

2. Orders and Acceptance

2.1 Orders are accepted at our sole discretion.

2.2 A Contract forms only when we issue written order confirmation or dispatch Goods.

2.3 These Terms override any Buyer terms unless expressly agreed in writing.

3. Product Information and Compliance

3.1 Goods are supplied for professional use only and must only be operated by suitably trained individuals.

3.2 Buyer is responsible for ensuring Goods are appropriate for their intended purpose.

3.3 Where applicable, Goods are supplied with CE/UKCA conformity or manufacturer compliance documentation.

4. Prices and Payment

4.1 Prices exclude VAT, delivery, customs duties (if any) and training unless stated.

4.2 Payment terms are strictly as stated on invoice. Goods remain property of Supplier until paid in full (see Section 6).

4.3 Late payments accrue interest at 8% above Bank of England base rate under Late Payment of Commercial Debts Act.

5. Delivery

5.1 Delivery dates are estimates only. Time of delivery is not of the essence.

5.2 Risk in Goods passes to Buyer upon delivery.

5.3 Buyer must inspect Goods upon delivery and report transit damage within 48 hours.

6. Title and Risk

6.1 Title to Goods remains with Supplier until full payment is received.

6.2 If Buyer fails to pay, Supplier may enter premises to recover Goods.

7. Training and Installation

7.1 If training is provided, it is for operational guidance only and not a qualification.

7.2 Buyer is responsible for compliance with local treatment regulations and insurance.

8. Returns Policy

8.1 Due to the nature of professional equipment, no refunds or cancellations are accepted once Goods are used or installed.

8.2 Unused Goods may be returned within 14 days subject to inspection and a 20% restocking fee.

8.3 Customised or special-order items are non-refundable.

9. Faults and Inspection Procedure

9.1 In the event of an operational fault, Buyer must notify Supplier in writing with full fault description.

9.2 Faulty Goods must be returned to Supplier for inspection before warranty action.

9.3 No refund or replacement is issued without inspection.

10. Warranty

10.1 Warranty Period: 12 months from delivery.

10.2 Warranty covers manufacturing defects only.

10.3 Warranty excludes:

Misuse, neglect, or accidental damage

Incorrect installation or power surge damage

Use of unapproved parts or fluids

Third-party repair attempts

Consumable parts including: laser bars, filters, handpieces, fuses, lamps, water pumps 10.4 Shipment terms for warranty repairs: Buyer returns Goods, Supplier returns after repair.

11. Repairs and Replacement Policy

11.1 Supplier has the right to repair before replacement.

11.2 Repair timeframe will be reasonable. Loan machines are not included unless agreed.

12. Limitation of Liability

12.1 Supplier is not liable for:

Loss of business, revenue, or profit

Downtime or treatment cancellations

Personal injury caused by improper use

Claims arising from Buyer training others 12.2 Maximum liability is limited to the price paid for Goods.

13. Indemnity

13.1 Buyer agrees to indemnify Supplier against claims arising from misuse or unqualified operation of Goods.

14. Force Majeure

Supplier is not liable for delays caused by circumstances outside reasonable control.

15. Governing Law

These Terms are governed by the laws of England and Wales. Jurisdiction is exclusively English courts.

16. General

16.1 No verbal agreements are binding.

16.2 These Terms may only be amended in writing by Director-level approval.

By placing an order, the Buyer agrees to these Terms and Conditions.
